Tindo’s Terms and Conditions of Sale
1. Introduction
The following general Terms and Conditions of Sale are for purchases made on Tindo’s website.
2. Definitions
“Tindo”: refers to Tindo Sales & Marketing Pty Ltd (ACN 154 806 354) and any of its related entities or subsidiaries.
“Goods”: Subject to these Terms and Conditions of Sale, Tindo agrees to sell to the customer named on the order (“Buyer”) and the Buyer agrees to purchase from Tindo the items described on this order (the “Goods”).
“Total Sales Price”: represent the total amount of all goods to be purchased including all shipping, insurance and other charges inclusive of GST.
3. Pricing
All transactions are quoted and processed in Australian Dollars (AUD).
4. GST
All prices shown do NOT include Australian GST and will be charged at the applicable rate unless exemption is claimed at the time of order.
5. Agreement
An agreement for the supply and purchase of Goods (Agreement) will be formed on the basis of the Quote and these Terms and Conditions of Sale upon:
1. you paying the required amount for the Goods; and
2. your acceptance of the Quote or these Terms and Conditions of Sale.
6. Validity
All prices are subject to change without notice. Tindo reserves the right to at any time make reasonable adjustments to prices in relation to any changes in currency exchange rates or duty which affect Tindo's costs for imported goods. Although every effort has been made to ensure the accuracy and stability of prices shown, variations and errors in this listing are beyond our control.
7. No Variations; Buyer Forms
If a Buyer issues any purchase order or similar instrument for the Goods and the terms thereof differ from these Terms, and Tindo does not specifically acknowledge in writing its acceptance of each such different term, the different terms of Buyer’s instrument shall be of no force and effect and the purchase and sale shall be subject solely to these Terms.
8. Terms
Terms are strictly net and payment must accompany an order. Payment by Mastercard, Visacard, or EFT are acceptable.
All payments made by Mastercard or Visa will attract an additional surcharge of 1.375% of the total sales price.
9. Security Policy
When purchasing from Tindo your financial details are passed through a secure server using the latest 128-bit SSL (secure sockets layer) encryption technology. 128-bit SSL encryption is the current industry standard. 10. Point of Shipping
The prices shown are ex-works in the absence of a formal quotation stating otherwise.
11. Shipping Method
Shipments will be despatched according to our best judgment unless a specific carrier and method is specified at the time of order. Generally we encourage purchasers to take advantage of our heavily discounted freight rates with our major carriers and have freight charges included in invoices for goods.
Shipping costs are influenced by the size and weight of the product and your location. Exact shipping costs are calculated in the shopping cart and will be added to the order total before checkout.
Goods shipped in this method, unless otherwise specified by the Seller, carry insurance for loss or damage in transit provided that the Seller's obligation under this clause shall expire upon a signature being obtained by our carriers for goods received in good order and condition and also provided that any claims for damage or shortages are made in writing within fourteen days of shipment. If an alternate carrier is specified or if goods are shipped on a “freight charges collect” basis, all responsibility for goods passes to the buyer immediately upon receipt of the goods by the nominated carrier.
Please note that under NO CIRCUMSTANCES:
1. Will responsibility be accepted for product damaged in transit if product has been signed for in good order and condition.
2. Will Tindo be held liable for damages except for product carried by our own nominated carriers
The above terms and conditions apply to domestic shipping only.
12. Claims for Shortages
Claims for shortages must be made in writing within fourteen days after the date of shipment of material.
13. Lead Times
Generally items which are available ex-stock will be shipped the same day for orders received before 12.00pm Adelaide time. Lead times on non stock or depleted stock items vary and will be quoted at the time of acceptance of order. Please note that lead times are quoted in good faith. Although every effort will be made to adhere to our stated delivery times we cannot be bound by or accept responsibility for loss or damage caused by non compliance.
14. Cancellation or changes in orders
Cancellation of or changes to orders by the Buyer are accepted only upon terms that protect the Seller against loss.
15. Returned Material
Credit not exceeding 90% of the original price is generally allowed (subject to approval at the sole discretion of the Seller) provided it is returned freight prepaid and in “as new” condition. In no case will the Seller authorise the return of material more than ninety days after shipment from the Seller's date of dispatch.
The following conditions relating to the return of goods for credit apply to all goods returned for this purpose:
1. Goods returned must be accompanied by a Delivery Docket stating original invoice number, date of purchase and reason for return.
2. Non standard equipment made to special order cannot be credited under any circumstances.
3. Inward freight, packing and delivery charges are the responsibility of the purchaser. If not prepaid by the purchaser, freight will be deducted from the amount of the credit.
4. Unless otherwise agreed, goods returned will be subject to a re-stock fee. All goods with a net value in excess of $20 will be subject to at least a 10% re-stock charge.
16. Indemnity
No claim by the Buyer need be recognised unless made in writing within fourteen days after delivery of goods to the buyer. No claim for damage or resultant expense direct or indirect in respect of any goods shall in any case exceed the invoice price of the goods in respect of which any damages or expense shall arise. All damage or expense over and above such invoice price shall be the responsibility of the buyer.
17. Warranty
Tindo warrants that your Tindo PV Module shall be free from defect in materials and workmanship under normal application, installation, use and service conditions for ten (10) years from the date of original invoice ("Product Warranty Period"). If, during the Product Warranty Period, your Tindo PV Module does not comply with this warranty, then Tindo will, at its sole option, repair or replace your Tindo PV Module with an equivalent product, or refund the purchase price to you of the defective PV module multiplied by the percentage of the relevant Product Warranty Period remaining.
